Civil Law
Went to Elisa after getting into a bind, being a young individual and not having any experience in the steps to take Elisa explained everything clearly and worked with me throughout the whole process.
Civil Law
Corporation and LLC Formation
Our firm forms your business legal entities. Prospective business owners must select both a legal structure (business entity form) and a name (DBA) for their new business. You may want to consult with an attorney before choosing a legal structure, particularly if more than one person will own the business. The legal entity form you choose will affect the taxes you must pay and how you report them. You will want to check with an accountant. We will encourage a team effort with an accountant that you choose so that the best entity is created for your needs.
Following are descriptions of the various legal structures we create.
- Sole Proprietorship
- Partnership
- Limited Liability Partnership (LLP)
- Limited Partnership
- Corporation
- S Corporation
- C Corporation
- Professional Service Corporation
- Limited Liability Company (LLC)
- Professional Limited Liability
- Company (PLLC)
Evictions
If a tenant fails to pay rent or violates any terms of the rental agreement, we provide landlord representation in eviction proceedings.
Leases
The written rental agreement between the landlord and the tenant is an important legal document. This agreement should be read and understood by both parties before it is signed. If either party has questions or wishes to have the terms of the rental agreement changed, these matters should be resolved before the agreement is signed. This document will control your agreement. Neither party should rely on oral statements that are contrary to the terms of the written rental agreement. We assist in making sure your rental agreement is drafted the way you want it drafted.
Purchase and Sale Agreements
The purpose of a purchase and sale agreement is to allow for a relatively easy business transition from one to another. Properly drafted business transactions
avoid misunderstandings which can result in litigation. It is important that all parties involved in a purchase and sale agreement consult with an attorney and accountant. Agreements that are well-crafted, explicit, detailed, and irrefutable avoid costly unintended consequences. We can assist with terms like “first right of refusal” or “leasing to own”, both of which frequently create litigation when improperly written.

Great lawyer
She did the most amazing work on my case. I couldn’t have asked for a better outcome. 5 stars isn’t enough
A god send
Finding Ms. Massoth was a literal god send. She kept my head level, explained everything so well, never promised more than she could give, and worked tirelessly. She gave me a great outcome, I will be forever greatful for her calm cool advice, her patience with listening to me, and with helping me so much. I would recommend her to anyone I know.
No Title
I couldn’t be more pleased with the outcome of my case. She did a fabulous job and I am so thankful that I found her. She was always very easy to get ahold of and always made sure I was fully aware of everything. Great experience with her.
Caring, Quick, Efficient
Elisa helped with the sale of our business in a very quick manner, then again with the probate of our parents’ estate. She is caring, answers questions right away, and gives invaluable advice. Highly recommend her for all kinds of legal needs.
She also volunteered in many aspects at the high school. She was a phenomenal judge for Mock Trials – I highly recommend that she throw her hat in the ring for a judgeship someday! She worked wonderfully with the students – she was patient, answered all their questions, and gave them great advice. A woman of many talents!
